1. Acceptance of these terms
By accessing or using svpmc.com or any website we operate (collectively, the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Site.
These Terms apply to all visitors, including general members of the public browsing our marketing pages, individuals who submit a consultation request, and registered property owner clients who access the Client Portal.
We may update these Terms from time to time. When we do, we will update the effective date above. Your continued use of the Site after any changes take effect constitutes your acceptance of the updated Terms.
2. About us
Shenandoah Valley Property Maintenance Company LLC ("SVPMC," "we," "us," or "our") is a Virginia limited liability company providing property maintenance and management services to short-term rental property owners in the Shenandoah Valley area. Our principal place of business is in Virginia.
Our Site provides information about our services, a consultation request form for prospective clients, and a secure Client Portal for registered property owner clients to view data about their managed properties.
3. Use of the Site
You may use the Site for lawful purposes only. You agree that your use of the Site will comply with all applicable federal, state, and local laws and regulations.
You agree not to:
• Use the Site for any unlawful purpose or in any way that violates these Terms.
• Attempt to gain unauthorized access to any part of the Site, our servers, or any system or network connected to the Site.
• Scrape, crawl, index, or otherwise extract content or data from the Site by automated means without our prior written permission, except that legitimate search engine and AI indexing crawlers operating in good faith and in accordance with our robots.txt file are permitted.
• Use the Site to collect information about our clients, employees, or business operations for the benefit of a competitor.
• Introduce viruses, malware, or any other harmful code to the Site or its underlying infrastructure.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the integrity or performance of the Site or its related systems.
• Attempt to reverse engineer, decompile, or disassemble any portion of the Site.
• Use the Site in any manner that could damage, disable, overburden, or impair our infrastructure.
• Submit false, misleading, or fraudulent information through any form on the Site.
4. Consultation requests
Our Site includes a "Request a Property Consultation" form. By submitting this form, you represent that the information you provide is accurate and that you are genuinely interested in learning about our services. Submitting a consultation request creates no obligation on either party and does not constitute a contract for services.
We will use the information you provide solely to follow up with you to schedule a consultation. There are no automated quotes. See our Privacy Policy for details on how we handle consultation request data.
5. Client Portal accounts
Account access
Certain areas of the Site are accessible only to registered property owner clients ("Client Portal"). Access is granted by invitation. If you are given access to the Client Portal, you agree to:
• Keep your magic link login emails and active sessions secure and confidential.
• Notify us immediately at contact@svpmc.com if you believe your account has been accessed without your authorization.
• Use the Client Portal only to access data related to your own properties under our management.
• Not share access to your account with any third party.
Accuracy of data
The Client Portal displays property data, reports, and records generated by our operations team. While we make reasonable efforts to ensure this information is accurate and up to date, we do not warrant that all data in the Client Portal is complete, error-free, or current at all times. If you believe any data is incorrect, please contact us at contact@svpmc.com.
Termination of access
We reserve the right to suspend or terminate your Client Portal access at any time, with or without notice, if we believe you have violated these Terms or if our management relationship with you ends.
6. Intellectual property
All content on the Site — including text, graphics, logos, photographs, and software — is owned by or licensed to Shenandoah Valley Property Maintenance Company LLC and is protected by applicable copyright, trademark, and other intellectual property laws.
You may view and print pages from the Site for your own personal, non-commercial use. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on the Site without our prior written permission.
Nothing in these Terms grants you any right, title, or interest in our name, logo, or trademarks.
7. Third-party links and services
The Site may contain links to third-party websites or services. These links are provided for your convenience only. We do not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk and subject to their terms and policies.
8. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SVPMC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any information on the Site is accurate, complete, or current.
Nothing on the Site constitutes legal, financial, or professional advice. Information about our services is for general informational purposes only. Actual services and pricing are subject to a separate written agreement.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SVPMC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Shenandoah Valley Property Maintenance Company LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
11. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Virginia, and you consent to personal jurisdiction in those courts.
Before initiating any formal legal proceeding, you agree to contact us at contact@svpmc.com and give us a reasonable opportunity to resolve the dispute informally.
12. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SVPMC regarding your use of the Site and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
